Acting for LLPs

Most practices act for one or two LLPs at most, thus making them ‘niche ‘clients.  A review of LLP accounts frequently reveals fundamental errors, and practitioners also frequently fail to give clients advice on the need for a membership agreement or deficiencies in existing membership agreements .

The course will cover:

    • Background, specifically the differences between LLPs, ‘traditional partnerships’ and Limited Partnerships under the 1907 Act;
    • Formation, structure, administration and management;
    • The members (partners) and their responsibilities;
    • The relationship between an LLP and third parties;
    • The relationship between members of an LLP;
    • The application of other laws: including the provisions of the Companies Act 2006;
    • Winding-up;
    • Accounting and disclosure requirements of the current SORP;
    • Overview of tax issues; and
    • Other practical implications.


About the speaker
Matthew Shaw is the Managing Director of Metis Compliance Limited. He is a Fellow of the Institute of Chartered Accountants in England and Wales and a Fellow of the Association of Chartered Certified Accountants.

He has spent over 23 years in technical and training, previously being the technical director of the HAT Group of Accountants (HAT).

Matthew has lectured to accountants in practice, accountants in industry and financial institutions on UK Financial Reporting. He also spearheaded HAT’s response to FRS 102 and FRS 102 Section 1A, preparing disclosure checklists and work programmes.
